Part A applies to everyone who uses our website at siladigital.me (the “Website”). Part B applies when a business engages us to provide services. By using the Website or engaging our services, you agree to these Terms.
Part A: Website Terms of Use
1. Using the Website
You may use the Website for lawful purposes, such as learning about our services and contacting us. You must not:
• use the Website in a way that breaks any law or regulation;
• attempt to gain unauthorised access to the Website, its server or any connected system;
• introduce viruses, malicious code or anything that could damage or disrupt the Website;
• scrape, copy or harvest content or data from the Website using automated means without our written permission;
• submit false, misleading or spam enquiries.
2. Intellectual property
The Website and its content, including text, graphics, design, logos, and our methods and frameworks such as the Sila Scale System, are owned by or licensed to Sila Digital and are protected by intellectual property laws. You may view and share Website pages for personal or internal business reference, but you may not reproduce, republish or commercially use our content without our written permission. Client names, logos and trademarks shown on the Website belong to their respective owners.
3. Information on the Website
Content on the Website is provided for general information only and does not constitute professional, legal or financial advice. Case studies and results, including results achieved by members of our team before joining Sila Digital, describe outcomes achieved in specific circumstances and are not a promise or guarantee of similar results for your business. We aim to keep the Website accurate and up to date but do not guarantee that it is complete, current or free from errors.
4. Third-party links and tools
The Website links to third-party services, such as social media platforms, WhatsApp and our booking tool. We do not control these services and are not responsible for their content, availability or privacy practices. Your use of them is governed by their own terms.
5. Enquiries and bookings
Submitting an enquiry, sending a message or booking a call does not create a contract between you and Sila Digital. A contract for services is only formed as described in Part B.
6. Website availability and liability
The Website is provided on an “as is” and “as available” basis. We may change, suspend or withdraw it at any time. To the extent permitted by law, we are not liable for any loss or damage arising from your use of, or inability to use, the Website or from reliance on its content.
7. Privacy
Our Privacy Policy explains how we collect and use personal data through the Website and our services. It forms part of these Terms.
Part B: Service Terms
8. How these Service Terms apply
These Service Terms apply to all services we provide, including growth consulting and digital marketing strategy, performance marketing and paid media, SEO and AI search visibility, conversion rate optimisation, analytics and reporting, social media and content marketing, email marketing, marketing automation, branding and design, UI/UX design, photography and video production, web, app and software development, UAE e-invoicing integration, and any other services described on the Website (the “Services”). The specific scope, deliverables, timeline and fees for each engagement are set out in a proposal, statement of work or agreement accepted by both parties (the “Proposal”). If there is any conflict between these Service Terms and a Proposal, the Proposal prevails. Your own terms and conditions do not apply unless we agree to them in writing.
9. Formation of the contract
A contract is formed when you accept a Proposal in writing (including by email or electronic signature) or pay the first invoice under it, whichever happens first. By doing so, you confirm that you have read and accept these Terms.
10. Scope and changes
We will deliver the Services described in the Proposal with reasonable skill and care. Work outside the agreed scope, or changes requested after work has started, may affect timelines and fees. Changes to the scope, fees or timeline are only binding once confirmed in writing by both parties.
11. Your responsibilities
You agree to:
• provide accurate and complete information, materials, approvals and feedback on time;
• give us the access we reasonably need, such as to your website, advertising, analytics and CRM accounts;
• make sure that any materials you supply (including text, images, video, logos, music and customer data) do not infringe third-party rights and may lawfully be used for the Services, and obtain any consents needed from people, property owners or locations featured in them;
• make sure your products, services, offers and marketing claims comply with the laws, regulations and licence conditions that apply to your business, and obtain any licences, approvals or advertising permits required (for example, financial services approvals or real estate advertising permits);
• keep current backups of your website, systems and data, unless backups are expressly included in the Proposal.
Delays caused by missing information, access or approvals may extend timelines, and fees for reserved time remain payable.
12. Approvals and regulated industries
• You are responsible for reviewing and approving all content, creatives, claims, campaigns and materials before they are published or launched. Once you approve them, responsibility for their content rests with you.
• If you do not respond to a request for approval within 5 business days, we may treat the material as approved so that the work can continue, after reminding you in writing.
• We provide marketing, creative and technical services. We do not provide legal, regulatory, tax, financial or investment advice, and our work is not a substitute for your own compliance review, especially in regulated sectors such as financial services and real estate.
• We may decline, pause or withdraw any work, content or campaign that we reasonably believe is unlawful, misleading, infringes third-party rights or breaches advertising platform policies, without being in breach of these Terms.
13. Fees and payment
• Fees are set out in the Proposal, are quoted and payable in UAE dirhams (AED) unless the Proposal states otherwise, and are exclusive of VAT and any other applicable taxes, which will be added where applicable.
• Project work may require a deposit before work begins, as set out in the Proposal.
• Unless the Proposal states otherwise, invoices are payable within 14 days of the invoice date, and monthly retainers are invoiced and payable in advance.
• Pre-approved third-party costs, such as software subscriptions, stock assets, equipment hire or freelance specialists, are payable by you, either directly or reimbursed to us.
• If payment is overdue, we may, after giving you written notice, pause the Services and withhold deliverables, files and account handovers until all overdue amounts are paid. You will also reimburse reasonable costs we incur in recovering overdue amounts, to the extent permitted by law.
14. Advertising spend and platforms
Advertising budgets are separate from our fees. They are paid by you directly to the platforms (such as Google, Meta, LinkedIn and TikTok), or, where we agree in writing to pay on your behalf, paid to us in advance. You are responsible for all advertising spend charged to your accounts. Ad platforms make their own decisions about ad approvals, account restrictions, policy enforcement and billing. We will follow their policies and work to resolve issues, but we are not responsible for platform decisions, outages, algorithm changes or other matters outside our control.
15. Accounts and access
Where possible, your advertising, analytics, website and domain accounts should be owned by you, with access granted to us. You remain the owner of these accounts and the data in them. At the end of an engagement, and subject to payment of all amounts due, we will return or remove our access and hand over any credentials we created on your behalf.
16. Third-party tools and AI
We may use third-party software, platforms and artificial intelligence tools to deliver the Services. We remain responsible for the work we deliver to you, and we will not use your confidential information with such tools in a way that breaches section 21. Third-party tools are provided by their owners, and we are not responsible for their availability, changes or failures.
17. Results
Marketing results depend on many factors outside our control, including market conditions, competition, platform algorithms, budget levels, your offer, pricing and your sales follow-up. Unless a Proposal expressly states otherwise, we do not guarantee specific results, such as rankings, traffic, leads, sales, return on ad spend or AI search visibility.
18. Website, app and software projects
• When we deliver a website, app or software for review, you will test it and report any defects in writing within 10 business days. If you do not report defects within that period, or if you put the deliverable into live use, it will be treated as accepted.
• For 30 days after acceptance, we will fix, at no extra cost, defects that cause the deliverable not to work as described in the Proposal. This does not cover issues caused by changes made by you or others, third-party plugins, hosting, platform or software updates, or new requirements, which can be handled under a support plan or a new Proposal.
19. Intellectual property
• Once all fees for the relevant work have been paid in full, you will own the final deliverables we create specifically for you under the Proposal, such as campaign creatives, copy, landing pages and custom code.
• We keep ownership of our pre-existing materials, tools, templates, frameworks, processes and know-how, including the Sila Scale System. Where these form part of a deliverable, we grant you a non-exclusive, perpetual licence to use them as part of that deliverable.
• For photography and video production, you receive the final edited files agreed in the Proposal. Unless the Proposal states otherwise, raw footage, unedited images and project files remain with us, and your use of the final files is licensed for the purposes described in the Proposal.
• Third-party materials, such as stock images, music, fonts, plugins and software, are subject to their own licence terms.
• You grant us a licence to use the materials you provide for the purpose of delivering the Services.
20. Portfolio and references
Unless you tell us otherwise in writing, we may refer to you as a client and describe the work we did and non-confidential results in our marketing materials, case studies and proposals. We will never disclose your confidential information in doing so.
21. Confidentiality
Each party will keep the other party’s confidential information secret and use it only to perform or receive the Services. This does not apply to information that is already public, independently developed, lawfully received from a third party or required to be disclosed by law. These obligations continue for three years after the engagement ends.
22. Data protection
Where we process personal data on your behalf as part of the Services, for example customer lists, CRM data or advertising audiences, we act as your data processor and will process that data only on your documented instructions, keep it secure and help you meet your obligations under applicable data protection law. You are responsible for having a lawful basis, and any consents required, for the personal data you share with us or ask us to use. A separate data processing agreement can be provided on request.
23. Your indemnity
You will indemnify us against claims, losses, fines, penalties and reasonable costs (including legal fees) arising from:
• materials, content or data you provide, or content you approve;
• your products, services, offers, pricing or marketing claims, including any failure to comply with laws, regulations, licence conditions or advertising permits that apply to your business;
• your instructions to us, or your use of the deliverables in breach of law or third-party rights;
• any lack of lawful basis or consent for personal data you provide or ask us to use.
24. Warranties
We will perform the Services with reasonable skill and care. To the extent permitted by law, all other warranties, conditions and terms, whether express or implied, are excluded.
25. Limitation of liability
• Neither party will be liable for any indirect or consequential loss, or for loss of profit, revenue, business, data or goodwill.
• We are not liable for losses caused by advertising platform decisions, third-party tools or services, content or campaigns you approved, or your failure to meet your responsibilities under these Terms.
• Our total liability for all claims arising out of or in connection with any engagement is limited to the fees you paid to us under the relevant Proposal in the three months before the event giving rise to the claim.
• Nothing in these Terms limits or excludes liability for fraud, gross negligence or wilful misconduct, or any other liability that cannot be limited or excluded under applicable law. These limits do not affect your obligation to pay fees and costs due under these Terms.
26. Term and termination
• Project work ends when the deliverables in the Proposal have been completed and accepted.
• Retainers continue for the minimum term in the Proposal and then on a rolling monthly basis. After the minimum term, either party may end a retainer by giving 30 days’ written notice.
• Either party may end the engagement immediately by written notice if the other party materially breaches these Terms and does not fix the breach within 14 days of being asked to, or becomes insolvent, enters liquidation or ceases to trade.
• On termination, you will pay for all Services performed, costs incurred and any committed third-party costs up to the termination date. Sections 19, 21, 22, 23, 25, 27, 30 and 31 continue to apply after termination.
27. Non-solicitation
During an engagement and for 12 months after it ends, you agree not to directly hire or engage any of our employees or contractors who worked on your account without our written consent.
28. Relationship
We act as an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between the parties, and neither party may bind the other without written authority.
29. Events beyond our control
Neither party is responsible for delays or failures caused by events beyond its reasonable control, such as platform outages, internet failures, natural disasters, government action or other force majeure events. The affected party will notify the other party and take reasonable steps to limit the impact.
30. Governing law and disputes
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Ajman. The parties will first try to resolve any dispute amicably through good-faith discussion for at least 30 days. If the dispute is not resolved, it will be subject to the exclusive jurisdiction of the courts of the Emirate of Ajman.
31. General
• Entire agreement: these Terms and the Proposal form the entire agreement between the parties for the Services.
• Changes: any change to an accepted Proposal or to these Terms as they apply to it must be agreed in writing by both parties.
• Assignment: neither party may transfer its rights or obligations without the other party’s written consent, except that we may use subcontractors while remaining responsible for their work.
• Notices: notices must be in writing and sent by email, to hello@siladigital.me for us and to the email address in the Proposal for you.
• Severability: if any part of these Terms is found invalid, the rest remains in force.
• Waiver: failing to enforce a right does not mean giving it up.
• Language: if these Terms are translated, the English version prevails to the extent permitted by law.
Changes to these Terms
We may update these Terms from time to time, and the latest version will be published on the Website. Changes do not affect a Proposal already accepted, unless both parties agree in writing.
